Copyright Information

1. Ownership of the Platform

The Trip Metrix Platform, including all software, source code, object code, user interfaces, workflows, layouts, dashboards, databases, APIs, mobile applications, website content, operational logic, inspection systems, reporting systems, designs, branding, visual elements, templates, exports, documentation, and underlying technology, is and shall remain the exclusive property of Trip Metrix Inc.

All rights not expressly granted are reserved. No ownership rights in the Platform are transferred to any Operator or Authorized User through use of the Platform.

Use of the Trip Metrix API does not grant ownership or rights to the software, intellectual property, or underlying systems.

The Platform is protected by applicable copyright, trademark, trade secret, and other intellectual property laws, and by international treaty provisions.

2. Generated Forms, Reports, and Exports

The Platform may generate materials such as:

• inspection reports;
• run sheets;
• shift records;
• compliance documents;
• roadside inspection packets;
• fleet records;
• consent forms;
• PDF exports;
• operational reports;
• checklists;
• timestamps;
• summaries; and
• other digital documentation.

Operators retain ownership of Your Data, meaning the factual information submitted to the Platform by the Operator or its Authorized Users, or on their behalf.

Trip Metrix Inc. retains all intellectual property rights in the structure, formatting, workflows, layouts, designs, templates, styling, systems, automation logic, organization methods, report generation systems, document architecture, and visual presentation used to generate or display such materials.

Generated documents may include Trip Metrix copyright notices, branding, or "Generated by Trip Metrix" markings. Those markings identify Trip Metrix as the source of the document format and do not transfer ownership of Your Data.

Use of generated materials does not transfer ownership of the underlying Platform technology or intellectual property.

3. Limited License to Use Generated Materials

Subject to an active Subscription and compliance with the Terms and Conditions and this policy, Trip Metrix grants the Operator and its Authorized Users a limited, non-exclusive, revocable, non-transferable license to:

• use generated records internally;
• print generated documents; and
• share records with regulators, insurers, law enforcement, customers, auditors, legal counsel, or governmental authorities as reasonably required for business operations.

Generated materials may not be resold, sublicensed, commercially redistributed, white-labelled, or repackaged. They may not be reverse engineered, copied into competing software products, or used to develop competing systems or templates.

4. Prohibited Copying and Reproduction

Except where expressly authorized in writing, Operators and Authorized Users may not:

• copy Platform workflows;
• duplicate report templates;
• reproduce inspection systems;
• replicate form structures;
• imitate Platform functionality;
• scrape Platform content;
• extract proprietary operational logic;
• create derivative works based on the Platform; or
• use generated materials to train competing software systems or artificial intelligence models.

Any unauthorized reproduction or commercial use may violate copyright, trademark, trade secret, and other intellectual property laws.

5. Trademarks

"Trip Metrix", logos, branding, slogans, icons, and related marks are trademarks or proprietary branding of Trip Metrix Inc.

Users may not use Trip Metrix branding in advertising, marketing, domain names, software products, misleading comparative materials, or in any manner suggesting partnership, endorsement, or affiliation without prior written permission.

6. Your Data

Operators retain ownership of Your Data, including information and records uploaded or entered into the Platform by the Operator or its Authorized Users.

By submitting content to the Platform, the Operator grants Trip Metrix Inc. a limited license to host, process, display, store, transmit, back up, generate reports from, and otherwise use submitted content solely for purposes of operating and improving the Platform, as further described in the Terms and Conditions and Privacy Policy.

Operators represent and warrant that they possess all rights necessary to upload or submit that content, including any personal information of employees, drivers, customers, or other individuals.

7. Feedback and Suggestions

Any suggestions, ideas, feedback, enhancement requests, workflow recommendations, or feature proposals submitted to Trip Metrix may be used by Trip Metrix Inc. without restriction or compensation.

Trip Metrix Inc. shall own all rights in any resulting improvements or developments.

8. Enforcement

Trip Metrix Inc. reserves the right to investigate and pursue legal remedies for unauthorized use, copying, distribution, reproduction, or misuse of Platform technology, workflows, generated materials, templates, branding, or intellectual property.

This may include suspension or termination of Platform access, injunctive relief, claims for damages, recovery of legal fees, and other remedies available under applicable law.

9. Changes to This Policy

Trip Metrix may update this policy from time to time. The updated version will be posted on this page with a revised version number and date. Where changes are material, Trip Metrix may provide additional notice through the Platform, email, or other reasonable means. Continued use of the Platform following an update constitutes acceptance of the revised policy.
